Terms of Service

Villa Code is operated by Jordan Sserugo, based in Uganda. You can reach us at jomodes82@gmail.com.

Villa Code analyses source code you submit and returns documentation, findings and suggested fixes. Analysis is produced by automated systems, including third-party large language models.

Findings are advisory, not a guarantee. Automated analysis can miss real defects and can report issues that are not real. You remain responsible for reviewing, testing and deciding whether to act on any output. Do not rely on Villa Code as your only check on security-critical or safety-critical code.

• You must give accurate registration details and keep your credentials secure.
• You are responsible for everything done through your account, including by your team members.
• You must be legally able to enter into this agreement, and be at least 18 years old.
• We may suspend or close accounts that breach these terms or are used unlawfully.

You keep all ownership of the code and content you submit. You grant us only the limited licence needed to transmit, process and analyse it in order to provide the service to you. How that data is handled is described in our Privacy Notice.

You confirm you have the right to submit the code you send us, and that doing so does not breach any third-party rights, licence terms, or confidentiality obligation you are under.

You must not:

• use the service to build or improve a competing code-analysis product;
• resell, sublicense or share access outside the seats included in your plan;
• attempt to circumvent usage limits, credit accounting, or billing;
• submit malware, or use the service to develop malware or to attack systems you do not own or have permission to test;
• probe, overload, or reverse-engineer our infrastructure.

• Paid plans are billed in advance on a recurring basis until cancelled.
• Prices are shown before purchase and may change; we will give notice before a change affects a renewal.
• Plans include a monthly credit allowance. Deep validation runs may additionally draw on a prepaid credit balance, which is consumed as work is performed.
• You can cancel at any time from your account. Cancellation stops future renewals; you keep access until the end of the period you have already paid for.
• Refunds are governed by our Refund Policy.

Our order process and payments are handled by our payment providers, who may act as merchant of record for your purchase. Their terms apply to the payment transaction itself.

We work to keep the service available but do not guarantee uninterrupted access. We may change, suspend or discontinue features, and will give reasonable notice of material changes that reduce what a paid plan provides. Planned maintenance and third-party provider outages may cause downtime.

We retain all rights in Villa Code itself — the software, models, prompts, interfaces and documentation. These terms grant you a limited, non-exclusive, non-transferable right to use the service while your account is in good standing, and nothing more.

To the fullest extent the law allows, the service is provided "as is" and we disclaim all implied warranties, including fitness for a particular purpose and non-infringement.

We are not liable for indirect or consequential loss, lost profits, lost revenue, or lost or corrupted data. Our total liability for any claim is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

Nothing here excludes liability that cannot lawfully be excluded, including for fraud.

You may stop using the service and close your account at any time. We may suspend or terminate access if you materially breach these terms, or if required by law. On termination your right to use the service ends; the sections that by their nature should survive (ownership, disclaimers, liability) continue to apply.

We may update these terms. If a change is material we will notify account holders by email or in-product before it takes effect. Continuing to use the service after that date means you accept the new terms.

These terms are governed by the laws of Uganda, and its courts have exclusive jurisdiction, without affecting any mandatory consumer protections you have where you live.
